LONDON – BSF Enterprise PLC () announced Sunday it has signed a Heads of Terms with SCHAKAU Managementberatung GmbH to commercialize lab-grown leather for luxury automotive applications and bio-engineered skin materials for robotics.

The partnership targets two areas: bespoke interior materials for European luxury vehicle manufacturers and biological surface layers for humanoid and industrial robots. BSF will supply lab-grown leather products, including its T-Rex Leather concept, for custom automotive trim and interior accents.

The agreement establishes a six-year revenue-sharing model for SCHAKAU-originated programs. The baseline revenue-share percentage applies fully for years one through three, then reduces to 50% for years four through six. Pre-production commercial revenues participate in revenue sharing but do not start the six-year period.

SCHAKAU will receive success fees on capital it introduces: 5% up to £10 million, 4% from £10 million to £25 million, 3% from £25 million to £50 million, and 2% above £50 million, payable in cash or equity.

BSF retains full ownership of all intellectual property, patents, and manufacturing processes through its subsidiaries 3D Bio-Tissues Ltd and Lab-Grown Leather Ltd. SCHAKAU receives exclusivity for opportunities it introduces, subject to protections for BSF’s existing relationships and an inactivity provision allowing BSF to withdraw exclusivity after 180 days without commercial progress.

The agreement sets performance milestones including a binding memorandum of understanding for lab-grown leather development between September and December 2026, and a robotics skin partnership between September 2026 and January 2027.

The partnership framework includes performance-based equity incentives contingent on achieving defined commercial milestones, according to the press release statement.
