Commerce & Finance expands capital markets team in Hong Kong

Commerce & Finance appoints Jiang Shan

Commerce & Finance Law Offices has appointed Jiang Shan as a partner in its debt capital markets practice in Hong Kong, further strengthening the firm’s domestic and international capital markets capabilities.

Eric Chow, managing partner of the firm’s Hong Kong office, said in a press release: “I am very delighted to welcome Shan to the firm. His recognised expertise in high yield matters together with his strong commercial approach, further enhance the continued growth of our DCM team. And I look forward to working closely with him as we continue to expand the practice.”

Jiang is admitted to practise in Hong Kong and in the US states of New York and New Jersey. Prior to joining Commerce & Finance, he practised at Linklaters for more than 11 years, rising from US associate to counsel. He advised leading international financial institutions and corporate issuers on complex high‑yield and other debt capital markets transactions across Greater China and the broader Asian region.

His experience spans a range of matters, including sovereign bond issuances, high‑profile debt restructurings and liability management exercises. He regularly advises on US securities law matters across both debt and equity capital markets, supporting clients on cross‑border transactions. He has also represented both underwriters and issuers in offshore convertible bond offerings and advised sponsors on Hong Kong IPO projects.

Before moving into private practice, Jiang spent nearly a decade at Sony Corporation on intellectual property licensing matters, serving the consumer electronics multinational in both Tokyo and New York.

He holds a dual professional background, having earned a bachelor’s degree in electronic engineering in China and a Juris Doctor degree in the US.
